1. Agreeing to these Terms

By creating an account, or by using the Terano AI website or platform, you agree to these Terms and to our Privacy Policy.

If you are agreeing on behalf of a company, you confirm you are authorised to bind that company, and "you" means that company.

2. What Terano AI is

Terano AI is a content-operations platform for social-video creators. It helps you plan content, generate and refine ideas and scripts with AI assistance, import and analyse your published videos, and publish to connected platforms.

We may add, change or remove features. If we remove something you depend on, we will give you reasonable notice.

3. Accounts and eligibility

You must be at least 18 years old to use Terano AI.

You are responsible for keeping your account credentials secure and for everything that happens under your account. Tell us promptly if you suspect unauthorised access.

You must give us accurate account information and keep it up to date.

4. Professional services engagements

Terano LLC also provides outsourced marketing services to business clients.

Those engagements are governed by a separate signed agreement between you and Terano LLC. These Terms govern only your use of this website and the Terano AI platform. Where the signed agreement and these Terms conflict, the signed agreement controls for that engagement.

5. Acceptable use

You agree not to:

Use the service to break the law, or to infringe anyone's intellectual property or privacy rights Upload or generate content that is unlawful, defamatory, hateful, or sexually exploitative Breach the terms of any platform you connect, or use Terano AI to evade their rules or rate limits Attempt to gain unauthorised access to the service, other accounts, or our infrastructure Resell, scrape, or systematically extract the service or its data without our written permission Use the service to build a competing product

We may suspend accounts that break these rules.

6. Connected platform accounts

You can connect accounts from TikTok, YouTube, Instagram and Google Drive. Connecting is optional and you control it.

When you connect an account you authorise us to access it for the features you use, as described in our Privacy Policy. Some features publish content to your account — these only ever run when you explicitly initiate them.

You remain bound by each platform's own terms, and you are responsible for content you publish through Terano AI. You can disconnect at any time. The performance data we read from a connected account is shown to other Terano AI creators for the videos you have published, as described in our Privacy Policy.

7. Your content and AI output

You keep ownership of the content you upload or create. You grant us a licence to host, process and display it solely to provide the service to you.

Output generated by the AI features is yours to use, subject to these Terms. Because AI output is generated from statistical models, it may be inaccurate, may resemble output given to other users, and may not be protectable by copyright in some countries. You are responsible for reviewing it before you publish it.

We may use aggregated, de-identified usage statistics to improve the service. We do not use your content to train general-purpose AI models.

8. Feedback from content, including other creators'

Terano AI works by studying content and telling you what it finds. That runs in both directions, and using the service means you are happy with both.

We analyse content you upload, connect or link to — including public videos published by other creators — and use what we learn to give advice. So the advice you receive may be informed by what other creators' published content shows, and advice we give other users may be informed by yours. This is the point of the product: everyone gets a clearer read on what actually holds an audience than they could get alone.

What travels is the result, never the asset. For videos you have published, that includes their performance data — the public figures and the private analytics from your connected accounts alike — which other Terano AI creators can see inside the product. You permit this by using the service, and our Privacy Policy sets out exactly what is shown.

What is never shown to another user: your drafts and unpublished work, any video you have not posted to a platform, everything in your idea deck and idea bank, and your commercial data — earnings, brand deals, sponsorships, affiliate arrangements and your offerings. Nor do we publish or sell any of it, or hand it to brands, agencies or other outside parties.

You keep every right you already had in your own work. Nothing here grants another user a licence to it.

9. Plans, tokens and billing

Terano AI is offered on subscription plans, some of which include an allowance of AI usage measured in tokens. Usage beyond your allowance may be billed as pay-as-you-go where you have enabled it.

Subscription fees are billed in advance for each billing period (monthly or annually). You may cancel at any time from your billing settings; cancellation stops future renewals and refunds the unused portion of the current period, prorated by day for monthly plans or by whole month for annual plans. Pay-as-you-go usage pays for tokens already consumed and is non-refundable. Duplicate charges, billing errors, and extended outages attributable to Terano are refunded or credited; any other refund is at our discretion. Full details are in our Act on Specified Commercial Transactions notice.

We may change prices. We will give you at least 30 days' notice before a change affects your renewal.

If payment fails we may suspend access until the balance is settled.

10. Suspension and termination

You can cancel your account at any time from your settings.

We may suspend or terminate your account if you materially breach these Terms, if we are required to by law, or if we discontinue the service.

When your account closes we delete your content and revoke connected platform tokens, subject to the retention periods in our Privacy Policy.

11. Disclaimers

The service is provided "as is". We do not warrant that it will be uninterrupted, error-free, or that it will produce any particular result.

Terano AI provides content and marketing assistance. We do not guarantee views, followers, revenue, or any other outcome from using it.

We are not responsible for connected platforms. They may change their APIs, restrict access, or remove your content, and features may stop working as a result.

12. Limitation of liability

To the maximum extent permitted by law, Terano LLC is not liable for indirect, incidental, special or consequential damages, or for lost profits, revenue, data or goodwill.

Our total liability for any claim relating to the service is limited to the amount you paid us in the 12 months before the claim arose.

Nothing in these Terms limits liability that cannot be limited by law.

13. Governing law and changes

These Terms are governed by the laws of Japan, and the Tokyo District Court has exclusive jurisdiction as the court of first instance.

We may update these Terms. If a change is material we will notify you before it takes effect. Continuing to use the service after that means you accept the updated Terms.
